1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the website basinex.net, our mobile applications, and all related services (collectively, the "Services") provided by BASINEX ("we," "us," or "our"). By creating an account, using our website, or otherwise engaging our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

BASINEX is a logistics and freight forwarding company with operations in the Dominican Republic and Haiti. Our business address is: Avenue Toussaint Louverture, Carrefour Fleuriot, Port-au-Prince (Airport Industrial Park), Immeuble #60, Haiti.

2. Definitions

• "User," "you," "your": Any individual or entity that creates an account, uses our website or mobile applications, or engages our Services.
• "Services": All logistics, freight forwarding, shopping delivery, package tracking, warehousing, customs clearance, and related services we provide.
• "Quotation": A price estimate provided by us for shipping services based on information you provide.
• "Package": Any item, parcel, container, or shipment entrusted to us for handling, transport, or storage.
• "Shopping Order": A request for us to purchase and deliver items from third-party retailers on your behalf.

3. Account Registration and Responsibilities

3.1 Account Creation

To use most features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete registration information (including your full name, valid email address, phone number, and country).
• Maintain and promptly update your account information to keep it accurate.
• Create only one account per person or entity unless we authorize otherwise.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to:

• Choose a strong password and keep it secure.
• Notify us immediately at info@basinex.net if you suspect unauthorized access to your account.
• Accept responsibility for all actions taken under your account, whether authorized by you or not, until you notify us of a breach.

3.3 Eligibility

You must be at least 18 years old to create an account and use our Services. By registering, you represent and warrant that you meet this age requirement.

4. Our Services

4.1 Freight Forwarding & Shipping

We provide international freight forwarding and shipping services including Full Container Load (FCL) and Loose Cargo Load (LCL) options via aerial, maritime, and terrestrial methods. We operate consolidated cargo routes from China to Hispaniola (Haiti & Dominican Republic) and FCL services from Latin America.

4.2 Online Shopping Delivery

We purchase items from third-party retailers on your behalf and arrange delivery to your specified destination. By using this service, you authorize us to act as your purchasing agent for the items you specify.

4.3 Quotations

Quotations provided through our website or app are estimates based on the information you provide (weight, dimensions, origin, destination, etc.). Actual costs may vary depending on factors including but not limited to: actual weight and volume measurements, fuel surcharges, customs duties, taxes, storage fees, and special handling requirements. A quotation does not constitute a binding contract until we confirm acceptance and you make the required payment.

4.4 Package Tracking

We provide shipment tracking through our website and mobile application. Tracking statuses are updated based on information available to us and may experience delays in reporting. We make reasonable efforts to provide accurate tracking but do not guarantee real-time accuracy.

4.5 Warehousing

We offer warehousing services at published rates. Storage fees accrue daily. Packages left in storage beyond 30 days without communication from the owner may be subject to disposal or sale to recover storage costs, in accordance with applicable law.

5. Quotations and Pricing

• All prices are quoted in United States Dollars (USD) unless otherwise stated.
• Quotations are valid for the period specified in the quotation document. If no period is specified, quotations are valid for thirty (30) days from issuance.
• We reserve the right to revise a quotation if the actual weight, volume, or nature of the goods differs from the information you provided, or if there are changes in fuel surcharges, carrier rates, or applicable duties and taxes.
• Prices quoted do not include customs duties, import taxes, VAT, storage fees, demurrage, or other government charges unless explicitly stated.

6. Payment Terms

• Payment is due in accordance with the terms specified on the invoice or payment request we issue to you.
• Payment requests may have a specified due date. Payment requests not paid by the due date are considered expired and may be cancelled.
• We may require full or partial payment before releasing a shipment or initiating certain services.
• All payments must be made via the methods we specify (bank transfer or other approved methods).
• You are responsible for all bank transfer fees, currency conversion charges, and other costs associated with your payment.
• Late payments may result in storage fees, suspension of Services, and/or legal action to recover amounts owed.
• We reserve the right to offset any amounts you owe us against any goods in our possession, subject to applicable law.

7. Shipping, Customs, and Delivery

7.1 Your Responsibilities

You are responsible for:

• Providing accurate and complete shipping information, including correct addresses, product descriptions, quantities, and declared values.
• Ensuring that all items shipped comply with the laws of the origin, transit, and destination countries.
• Providing all necessary documentation for customs clearance (invoices, certificates of origin, permits, etc.).
• Paying all customs duties, import taxes, and other government charges levied on your shipment.

7.2 Customs Clearance

Where we offer customs clearance services, we act as your authorized agent for customs purposes. You authorize us to:

• Submit documentation to customs authorities on your behalf.
• Pay duties and taxes on your behalf (which you must reimburse).
• Make decisions reasonably necessary to clear your goods through customs.

7.3 Delivery and Receipt

• Delivery times are estimates only and are not guaranteed.
• We are not liable for delays caused by customs inspections, carrier delays, weather, political events, or other circumstances beyond our reasonable control.
• Upon delivery, you (or your designated representative) must inspect the package and note any damage on the delivery receipt. Failure to note damage at delivery may affect your ability to make a claim.
• Representatives designated for pickup must present valid identification matching the information you provided when you registered the representative.

8. Prohibited and Restricted Items

You may not ship the following items through our Services:

• Illegal substances, narcotics, or controlled drugs.
• Firearms, ammunition, explosives, or weapons.
• Hazardous materials (flammable, toxic, corrosive, radioactive) unless pre-approved and properly declared.
• Counterfeit goods or items that infringe intellectual property rights.
• Stolen property.
• Currency, bearer negotiable instruments, precious metals, or gemstones.
• Live animals, plants, or perishables not pre-approved.
• Human remains or biological specimens.
• Any item prohibited by the laws of the origin, transit, or destination country.

We reserve the right to refuse to handle any package at our sole discretion. If you ship prohibited items, you indemnify us against all resulting claims, damages, fines, and legal costs.

9. Package Inspection

We reserve the right, but are not obligated, to open and inspect any package to verify its contents, ensure compliance with these Terms and applicable laws, or for security purposes. We may cooperate with law enforcement and customs authorities, including by providing information about you and your shipments.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Our liability for loss of or damage to any package is limited to the lesser of: (a) the declared value of the goods you provided; (b) the actual value of the goods (supported by proof of purchase); or (c) the maximum liability limits set by applicable international shipping conventions (such as the Montreal Convention for air freight or the Hague-Visby Rules for sea freight).
• We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, business, data, or goodwill, arising from or relating to these Terms or our Services, whether based on contract, tort (including negligence), strict liability, or otherwise.
• We are not liable for loss or damage resulting from: acts of God, natural disasters, war, terrorism, civil unrest, strikes, government actions, customs delays or seizures, quarantine, or any other cause beyond our reasonable control.
• We are not liable for damage resulting from inadequate or improper packaging by the shipper, inherent vice or nature of the goods, or electrical or magnetic damage to electronic items.
• Any claim for loss or damage must be submitted in writing within seven (7) days of delivery (for visible damage) or within fourteen (14) days of delivery (for concealed damage or loss). Claims submitted after these periods will be barred.

11. Indemnification

You agree to indemnify, defend, and hold harmless BASINEX, its affiliates, officers, directors, employees, agents, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your violation of these Terms or any applicable law or regulation.
• Your shipment of prohibited, restricted, or improperly declared items.
• Your provision of inaccurate or incomplete information.
• Your use of the Services, including any claims by third parties related to goods you ship.
• Any customs duties, taxes, fines, or penalties assessed on your shipments.

12. Intellectual Property

The BASINEX name, logo, website content, software, mobile applications, and all related materials are owned by or licensed to us and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works of our intellectual property without our prior written consent. You retain ownership of content you upload to our platform (documents, images); by uploading, you grant us a limited license to use such content solely to provide the Services to you.

13. Third-Party Services and Links

Our Services may integrate with or link to third-party websites and services (such as payment processors, retailers whose products you purchase through our shopping service, and notification services). We do not control and are not responsible for third-party services, their content, or their practices. Your use of third-party services is subject to their respective terms and policies.

14. Privacy

Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our Services, you consent to our data practices as described in the Privacy Policy.

15. Termination

We may suspend or terminate your account and access to the Services at any time, with or without cause, including if you violate these Terms, provide false information, engage in fraudulent activity, or fail to pay amounts due. Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination (including payment obligations, liability limitations, and indemnification) shall survive.

16. Modifications to Terms

We may modify these Terms at any time by posting the revised version on our website and updating the "Last updated" date. For material changes, we will notify you by email or through a prominent notice on our website. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services.

17. Governing Law and Dispute Resolution

These Terms and any disputes arising from or relating to them shall be governed by and construed in accordance with the laws of Haiti, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the arbitration body mutually agreed upon by the parties, or failing agreement, to the competent courts of Port-au-Prince, Haiti.

18. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy and any quotation or service agreement specific to a transaction, constitute the entire agreement between you and BASINEX regarding the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger or sale of our business.
• Force Majeure: We are not liable for failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, labor disputes, and infrastructure failures.
• Language: These Terms are written in English. Translations are provided for convenience only; the English version controls.
